General terms and conditions
NOORDVARO V.O.F
For roof-window replacement, roof and attic insulation, attic finishing and agreed subcontracting. Each quotation must provide the applicable version before acceptance in a durable form the client can retain. A non-binding website enquiry is not a contract and does not require acceptance of these terms.
1. Noordvaro and definitions
1.1 Noordvaro means NOORDVARO V.O.F, established at Kanaalstraat 10, 9401 ER Assen, the Netherlands, registered with the Dutch Chamber of Commerce under number 99139189. VAT identification number: NL868820921B01. Email: info@noordvaro.nl. Website: https://www.noordvaro.nl. Telephone: +31 6 12039137. This is the correspondence address, not a public shop, showroom or walk-in location; visits take place only after an appointment has been confirmed in writing.
1.2 The client is the person or organisation instructing Noordvaro. A consumer is an individual acting outside their trade, business or profession. A business client acts within their trade, business or profession. The work consists only of the activities and supplies agreed between the parties.
1.3 Writing includes an email or message that can be retained and whose content and sender can be identified. A non-binding website enquiry is not an instruction to carry out work or a purchase order.
2. Application and order of precedence
2.1 These terms apply when they have been incorporated before or when the contract is concluded and made available in a legally permitted manner. Noordvaro provides a version the client can retain, for example a PDF attached to the quotation.
2.2 An expressly agreed, specific provision in the quotation or order confirmation takes precedence over these general terms. Mandatory law and statutory consumer protection always prevail. A general reference does not automatically constitute acceptance of a business client's terms; conflicting references must be discussed before the parties proceed.
2.3 The agreed version continues to apply to the assignment. A later website update does not change an existing contract. If a provision is invalid, the remaining provisions continue as far as possible; an invalid consumer provision is not automatically replaced by a more disadvantageous provision.
3. Quotations and formation of the contract
3.1 Unless stated otherwise, a quotation remains valid for 30 calendar days. It describes the work, included materials, assumptions, type of price, VAT, payment stages and the planning insofar as this can be determined. A separate survey, inspection or advice is charged only when its cost has been agreed in advance.
3.2 A contract is formed by offer and acceptance. Noordvaro preferably records the agreement in writing. A request for an additional confirmation does not invalidate a contract that has already been formed under the law.
3.3 Photographs, approximate measurements and an initial price indication may be insufficient for a definitive quotation. Noordvaro identifies matters still requiring assessment. Obvious mistakes are discussed and do not authorise arbitrary changes to an agreed price.
4. Scope of work
4.1 Work may include replacement of existing roof windows, insulation of pitched roofs or attic floors, installation of finishing panels and fitting of skirting, trims and junction details. The quotation determines which elements are actually included.
4.2 Structural calculations, structural alterations, asbestos removal, electrical installation, gas, water and heating work, permit applications and other trades are excluded unless expressly agreed and capable of being performed lawfully and competently.
4.3 A description such as 'complete attic work' does not promise every conceivable conversion or compliance with every requirement for a change of use. Storage, finishing and other intended uses are addressed separately. Noordvaro retains its statutory duties of assessment, information and warning.
5. Information, access and preparation
5.1 The client supplies information reasonably available to them, including known leaks, previous insulation layers, pipes, defects, relevant drawings and requirements of an owners' association or property owner. Noordvaro remains responsible for what it ought to investigate or identify itself.
5.2 The parties agree responsibility for access, working space, protection or movement of possessions, electricity, any scaffolding, waste removal and parking. A facility or surcharge not agreed in advance is not automatically payable by the client.
5.3 The client obtains necessary owner or owners' association consent and, where agreed and legally appropriate, permits. Noordvaro warns of known or reasonably recognisable obstacles. Work requiring missing consent does not begin without assessment and further agreement.
6. Execution, safety and warnings
6.1 Noordvaro performs the work carefully, in accordance with the contract and applicable legal requirements. Relevant manufacturer instructions and the actual roof or building construction are taken into account. An insulation value or product performance applies only if specified for the agreed solution.
6.2 Noordvaro gives timely, specific written warnings about errors in the instruction, unsuitable client-supplied materials, incorrect information or drawings and other defects covered by a statutory duty to warn. The possible consequences for the work are explained. This duty is not transferred to the client.
6.3 A suspected asbestos hazard, unsafe installation, structural risk or other unsafe situation may require affected work to stop. Noordvaro informs the client and discusses a safe next step. Only justified costs payable under the contract or law may be charged.
6.4 Use of employees or other persons assisting with the work does not release Noordvaro from its own contractual and statutory responsibilities. A certificate or quality mark applies only when it genuinely exists, remains valid and covers the relevant individual or company.
7. Planning and occupied homes
7.1 The start and execution are coordinated for the assignment. The quotation states whether a date is indicative or a binding deadline. When delay is foreseeable, Noordvaro explains the cause and expected consequences and discusses revised planning. Statutory remedies for delay remain available.
7.2 Weather, hidden defects or supply problems do not automatically entitle a party to an extension, additional payment or exemption from liability. The cause, responsibility, contract and law determine the outcome.
7.3 Noordvaro seeks to limit disruption in occupied homes and keep the working area reasonably orderly. Dust, noise and temporary access restrictions cannot be entirely excluded. More extensive cleaning, moving possessions and resident communications are agreed separately where needed.
8. Price, estimates and VAT
8.1 The quotation distinguishes a fixed price, a price estimate and work charged by agreed hours, quantities or rates. Consumer prices include VAT and known unavoidable charges. Business quotations clearly indicate whether amounts exclude VAT.
8.2 A fixed price cannot be increased unilaterally merely because the work turns out more expensive. Statutory rules for cost-increasing circumstances remain applicable, including their conditions and warning duties.
8.3 An estimate must not be exceeded by more than 10% without timely warning giving the client a genuine opportunity to limit or simplify the work. This is not automatic permission to increase every estimate by 10%.
8.4 Only the VAT treatment actually applicable is used. A possible reduced rate for certain insulation labour does not automatically cover materials, roof windows, finishing or the entire project. Any statutory reverse-charge arrangement is applied only where its conditions are satisfied.
9. Additional work, omissions and hidden conditions
9.1 Changes are preferably recorded before execution, including their price or calculation method and effect on planning. For client-requested additions, Noordvaro gives timely warning of the need for a price increase, subject to the statutory exception where the client should have understood that need without a warning.
9.2 On finding hidden damage, moisture, rot, different construction or unexpected old layers, Noordvaro explains the situation and discusses the next steps. Suspected defects do not authorise unlimited additional work. Statutory duties to prevent damage remain applicable.
9.3 Omitted work is settled fairly and transparently, taking account of the agreement, savings and costs already lawfully incurred. Omission is not automatically converted into a fixed cancellation penalty that was never agreed.
10. Materials and junctions
10.1 Brand, specification, dimensions and finish are recorded where essential. An unavailable product is not replaced by a materially different solution without consultation. A brand reference does not imply authorised-installer status.
10.2 Joining new work to an existing finish can reveal differences in colour, texture or dimensions. Noordvaro discusses reasonably foreseeable differences beforehand; this provision does not excuse defective work or supply that fails to match the contract.
10.3 Suitability and responsibility for client-supplied materials are discussed. Noordvaro retains its duty to warn of recognisable unsuitability and remains responsible for its own installation work.
11. Handover, defects and rectification
11.1 Noordvaro notifies the client when the work is ready for inspection. Where practical, the parties inspect together and record observations and agreed rectification. Necessary use and maintenance information and any legally required handover file are supplied where applicable.
11.2 Payment, use or failure to reply immediately does not in itself constitute a general waiver of rights. Statutory rules on handover and acceptance continue to apply.
11.3 Noordvaro remedies attributable defects in accordance with the contract and law. The client allows a reasonable opportunity to do so, unless waiting cannot reasonably be required or the law provides another remedy. A minor outstanding point does not automatically prevent handover; substantial defects are assessed on their merits.
11.4 Statutory liability for building-work defects not discovered at handover remains applicable where the relevant provision applies. This protection is not restricted for consumers. A manufacturer's warranty is additional and does not replace statutory claims against Noordvaro.
12. Payment
12.1 Unless agreed otherwise in writing, payment is due within 14 calendar days of receipt of the invoice. Instalments or a deposit must be agreed in advance. These terms do not impose an automatic 50% or 100% deposit.
12.2 Invoices are sufficiently itemised. Payment is made to the account identified on the invoice or by a separately agreed method. An unexpected change of payment details can be checked through an already known contact channel.
12.3 Statutory rights to suspend payment, set off or retain an amount are not excluded. A disputed item is explained and discussed, while the undisputed amount that is due remains payable under the agreement.
12.4 Only applicable statutory interest and lawful collection costs may be claimed for late payment. Consumer collection costs require a correct free reminder allowing fourteen full days from the day after receipt and containing the required information. There is no automatic fixed 15% consumer surcharge.
13. Ending the assignment outside the statutory withdrawal period
13.1 The client may terminate a contract for work as the law permits. On termination under Article 7:764 of the Dutch Civil Code, settlement is based on the agreed price less the savings resulting from termination. Where the price depends on actual costs, the statutory calculation applies. Noordvaro substantiates the settlement and provides insight into relevant savings.
13.2 Payments already made are taken into account. The client is not automatically required to pay the entire remaining contract price or a fixed percentage of it in every case.
13.3 This provision does not replace a consumer's statutory withdrawal right, valid termination for breach or other mandatory rights. Postponement or rescheduling is discussed separately; costs are payable only where agreed and lawful.
14. Consumer withdrawal rights
14.1 A statutory withdrawal right may apply to a consumer contract concluded at a distance or away from business premises. Before conclusion, Noordvaro provides the applicable information, time limit and a model form. A non-binding website enquiry is not yet a contract.
14.2 For a service, the period is generally 14 days after the day the contract is concluded. Supply of goods, multiple deliveries and combinations of goods and services can have a different statutory starting point. The correct starting point for the particular assignment is provided before acceptance. Missing or incorrect information can extend the period by law.
14.3 Withdrawal can be made by an unequivocal statement to info@noordvaro.nl or by post to the address in Article 1. The model in Appendix A is optional. The statement must be sent within the applicable period.
14.4 Work starts during the withdrawal period only at the consumer's express request and after the required information and confirmation. On valid withdrawal, only a legally permitted proportionate amount may be payable. The right ends on full performance of a paid service only where the consumer has expressly agreed to the start beforehand and acknowledged that full performance ends the right to withdraw.
14.5 Exceptions for genuinely individually manufactured goods or specifically requested urgent repairs apply only as permitted by law. A standard-size roof window, ordering materials or describing a project generally as 'bespoke' does not automatically remove the right to withdraw. Additional non-urgent work is not automatically covered by an urgent-repair exception.
14.6 Following withdrawal, Noordvaro refunds amounts legally due within the statutory period, generally within 14 days after receiving the statement. Relevant rules for goods, return costs, diminished value and any statutory right to withhold reimbursement are provided beforehand where applicable. Any mandatory online withdrawal function supplements rather than replaces other statutory methods of withdrawal.
15. Liability and warranties
15.1 Noordvaro is liable for attributable breaches and damage to the extent required by the contract and law. These terms contain no general exclusion of liability and do not limit a consumer claim to an insurance payment or the invoice amount.
15.2 Liability depends, among other things, on cause, attribution, mitigation and any contributory fault under the law. The client reports damage as soon as reasonably possible and takes reasonable steps to limit further loss.
15.3 No general warranty for a fixed number of years is promised. An additional warranty exists only when expressly agreed in writing or provided by a manufacturer. Statutory rights and applicable construction-law protection remain unaffected.
16. Force majeure and temporary interruption
16.1 A party may rely on force majeure only insofar as the failure cannot legally be attributed to it. It reports the circumstances and limits their effects where reasonably possible.
16.2 Properly completed performance is settled under the agreement. Termination, repayment, rectification and resumption are assessed under the law. Force majeure does not automatically remove the client's rights or make every future cost payable.
17. Additional provisions for business clients and subcontracting
17.1 For subcontracting, the parties record Noordvaro's own scope, drawings, planning, material responsibility, access, safety rules, resident communications and handover criteria. Merely working on a project does not automatically make Noordvaro responsible for every obligation under the main contract.
17.2 Only project conditions agreed and made available in time apply. Any UAV conditions, purchasing conditions, penalties, additional warranties or indemnities require an appropriate separate agreement; these terms do not automatically introduce them.
17.3 Timesheets and progress records assist verification of work. An absent signature does not automatically make actually agreed and demonstrably performed work non-payable. Conversely, a timesheet does not itself establish agreement to additional work that was not instructed.
17.4 Payment to Noordvaro does not automatically depend on payment by the ultimate client. Statutory tax and supply-chain responsibilities remain applicable; this wording does not guarantee an indemnity, blocked G-account or special registration. The actual cooperation must match the agreed and lawfully permitted arrangement.
18. Subsidies and performance outcomes
18.1 Noordvaro is not a subsidy authority. Subsidy and VAT information is general; the competent authority determines eligibility. No subsidy, energy-label improvement, savings percentage or fixed energy bill is guaranteed.
18.2 Subsidy conditions, timing and required documents must be checked before instruction and execution. Noordvaro may provide applicable known execution information. Acting as the client's subsidy applicant requires a separate agreement.
18.3 Unless an express funding or subsidy condition has been agreed, an existing payment obligation does not automatically depend on subsidy approval. This does not restrict rights arising from incorrect information or Noordvaro's breach.
19. Personal data and project photographs
19.1 Noordvaro uses personal data for contact, preparation, execution, administration and legal obligations as described in the applicable privacy notice. The legal basis is determined per purpose; accepting these terms is not general privacy or marketing consent.
19.2 Photographs needed for work documentation are limited to that purpose. Public portfolio use involving recognisable people, private interiors or identifiable project information requires a separate careful assessment and consent where necessary. An assignment does not provide unlimited permission to publish client details, a property address or photographs.
20. Complaints and disputes
20.1 A complaint can be sent to info@noordvaro.nl with an explanation and photographs where helpful. Noordvaro investigates and discusses an appropriate next step. No contractual deadline of only a few days removes statutory rights.
20.2 The parties seek a solution. A consumer is not obliged to use arbitration or a disputes committee to which Noordvaro does not belong. The court competent under the law remains competent.
20.3 Dutch law applies without depriving a consumer of protection under otherwise mandatorily applicable law. The Dutch and English versions are intended to have the same meaning. The agreed contract language and statutory interpretation rules govern; ambiguity in a consumer provision is not interpreted against the consumer.
21. Provision and version control
21.1 Each quotation identifies the applicable version and supplies it in a retainable form before acceptance. A website reference alone or a reference added only to the final invoice does not replace proper provision.
